VAST.Rehab, Terms of Use

These terms and conditions (“Terms of Use”) govern access to and use of the VAST.Rehab software platform and related services provided by Brontes Processing sp. z o.o. (“Brontes Processing”, “we”, “us”, or “our”). Our Privacy Policy is incorporated by reference into these Terms of Use. Certain parts of VAST.Rehab may also be subject to additional terms set out in an order form, quote, distributor arrangement, implementation statement, support plan, data processing agreement, business associate agreement, or other written document issued or approved by Brontes Processing.

Please review the following definitions before using VAST.Rehab:

  • “Brontes Processing”, “we”, “Company”, or “Brontes Processing sp. z o.o.” means Brontes Processing sp. z o.o., located in Poland, 44-100 Gliwice, Przewozowa 32.
  • “VAST.Rehab” means the VAST.Rehab software applications, websites, servers, remote services, support channels, and related materials that do not have separate governing terms.
  • “Agreement”, “Terms of Use”, or “TOU” means these VAST.Rehab Terms of Use.
  • “Privacy Policy” means the VAST.Rehab Privacy Policy available at the URL listed below.
  • “Customer” means the legal entity or individual that purchases, licenses, receives, or otherwise lawfully obtains access to VAST.Rehab from Brontes Processing or an authorized distributor.
  • “Authorized Organization” means a clinic, facility, practice, hospital, distributor, partner, or other organization authorized by Brontes Processing to use VAST.Rehab.
  • “Authorized Professional” means a healthcare professional, therapist, or other trained and authorized person acting within an Authorized Organization and within the scope of permissions, qualifications, instructions, and applicable law governing the use of VAST.Rehab in the relevant jurisdiction. For the avoidance of doubt, jurisdiction-specific labeling or product-specific documentation may apply a narrower standard to particular configurations or territories.
  • “Patient User” means a natural person who accesses a patient-facing part of VAST.Rehab only because such access was enabled, assigned, or approved by an Authorized Organization or Authorized Professional.
  • “Distributor” means a party authorized by Brontes Processing to market, sell, implement, support, or otherwise provide access to VAST.Rehab in a given territory.
  • “Personal Information” means information that identifies or can reasonably identify an individual.

The Services

VAST.Rehab is a software platform that includes a core interactive rehabilitation function together with supporting workflow tools. The core rehabilitation function is intended to provide an interactive rehabilitation environment by presenting exercises or therapeutic tasks for users to perform, tracking user movement using supported motion-tracking hardware, and providing visual feedback during exercise performance. Depending on the licensed configuration, VAST.Rehab may also include therapist-facing applications, patient-facing applications, facility administration tools, reporting tools, local server components, cloud services, and optional communication or remote-session support features.

For clarity, planning tools, account management, scheduling, reporting, communication features, video-chat, remote-session support, and similar workflow tools are ancillary support features unless expressly identified by Brontes Processing as part of a regulated medical device configuration in the applicable labeling or product documentation. Such ancillary features are not intended to diagnose patients, monitor physiological parameters for clinical decision-making, autonomously recommend treatment, or replace professional assessment.

Where VAST.Rehab supports remote or home-based workflows, “remote supervision” means therapist oversight of exercise performance, exercise flow, or session conduct within an authorized rehabilitation workflow. It does not mean autonomous clinical monitoring, emergency monitoring, or independent physiological surveillance unless expressly stated in product-specific documentation issued by Brontes Processing.

VAST.Rehab may be used with supported cameras, supported mobile devices, supported visual-display hardware, supported computers, supported local server configurations, supported sensors, and supported third-party accessories or partner devices, as described in the applicable product documentation, hardware requirements, or implementation materials. Availability and regulatory status of particular hardware configurations, environments, or features may differ by jurisdiction.

Access to particular modules, environments, features, or deployment models may vary by Customer, territory, device type, implementation model, subscription status, order form, or distributor arrangement. We may modify, improve, replace, suspend, or discontinue parts of VAST.Rehab from time to time, subject to applicable law, applicable medical device regulatory requirements, internal change-control obligations, safety considerations, and any written commitments expressly made by Brontes Processing.

Authorized users and access

VAST.Rehab is intended for use by Authorized Organizations, Authorized Professionals, and Patient Users who are granted access through an Authorized Organization or Authorized Professional. VAST.Rehab is not offered as a general self-service consumer platform for independent therapeutic use.

Patient Users may access VAST.Rehab only within a care workflow, rehabilitation workflow, evaluation workflow, trial workflow, demo workflow, or implementation workflow created, approved, supervised, or otherwise controlled by an Authorized Organization or Authorized Professional, and only for the purposes permitted by the applicable configuration and instructions.

If your access to VAST.Rehab is provided by a clinic, facility, therapist, partner, or distributor, that party may have authority to create, manage, restrict, suspend, or terminate your access, subject to applicable law and any direct commitments made by Brontes Processing.

Clinical responsibility and intended use

VAST.Rehab is intended to support rehabilitation exercises and related workflow activities under the direction, responsibility, or control of an Authorized Professional or Authorized Organization, and only in accordance with the applicable product documentation, labeling, instructions for use, training materials, and local legal requirements.

VAST.Rehab is not a diagnostic tool, is not an emergency response service, and does not replace clinical judgment, professional assessment, patient qualification, treatment planning, monitoring obligations, or medical advice. Brontes Processing does not diagnose patients, prescribe therapy, determine patient suitability, determine contraindications, or make treatment decisions through these Terms of Use.

Any home-based or remotely supervised use of VAST.Rehab must be initiated, authorized, assigned, or approved by an Authorized Organization or Authorized Professional and must follow the applicable workflow, instructions, and safety restrictions. Nothing in these Terms of Use authorizes independent consumer use of VAST.Rehab outside such a workflow.

Availability of VAST.Rehab, and the regulatory status of VAST.Rehab, may differ by country or territory. Nothing in these Terms of Use constitutes a representation that a particular product configuration, feature, claim, or use case is available, approved, cleared, exempt, CE-marked, or otherwise lawful in every jurisdiction. You must not use VAST.Rehab in a manner that is inconsistent with applicable law, applicable labeling, or the permissions granted by Brontes Processing.

If you become aware of any incident, malfunction, serious deterioration in performance, or adverse event that may be related to VAST.Rehab, please report it to Brontes Processing, or to your providing Authorized Organization or Distributor, without undue delay using the contact details or support channels made available for your configuration.

Jurisdiction-specific regulatory status

In the European Economic Area, where applicable and where a given configuration of VAST.Rehab is placed on the market as a medical device, Brontes Processing sp. z o.o. acts as the legal manufacturer of that configuration. Applicable medical device configurations are supplied subject to the relevant labeling, instructions for use, and regulatory requirements, including Regulation (EU) 2017/745, and may be identified as Class I devices where so designated by Brontes Processing.

If and when a configuration of VAST.Rehab is commercially distributed in the United States as a prescription device, it is intended to be sold only to, by, or on the order of a duly licensed healthcare practitioner, and any patient access must be created or enabled within that professional framework. For United States-specific configurations, product-specific labeling or documentation may define Authorized Professional more narrowly than these global Terms of Use. Additional United States-specific labeling, instructions, cautionary statements, and product-specific notices may apply to the relevant configuration and will control in the event of a conflict with these Terms of Use.

Use Restrictions

You may not, and you may not permit any third party to, unless otherwise expressly authorized in writing by Brontes Processing:

  • use VAST.Rehab for any illegal, immoral, unlawful, fraudulent, harmful, or unauthorized purpose;
  • use VAST.Rehab outside its intended use, outside the permissions granted to you, or contrary to the applicable labeling, documentation, implementation guidance, or training materials;
  • use VAST.Rehab as a self-service consumer therapy product, as a general fitness product, or as an independent substitute for professional clinical decision-making if such use has not been expressly authorized by Brontes Processing for your jurisdiction and configuration;
  • represent that VAST.Rehab performs diagnosis, screening, triage, autonomous treatment selection, or any other clinical function that Brontes Processing has not expressly authorized in writing for the relevant jurisdiction and product configuration;
  • remove or disassociate from VAST.Rehab any restrictions, notices, markings, or signs indicating proprietary rights of Brontes Processing or its licensors, including any proprietary notices contained in the materials;
  • use any manual or automatic device, process, or method, such as a robot, spider, crawler, scraper, or data-mining tool, to access VAST.Rehab and retrieve, index, harvest, or analyze information, except to the extent expressly permitted by Brontes Processing in writing;
  • interfere with, disrupt, overload, damage, or compromise the operation of VAST.Rehab or any networks, systems, or services connected with VAST.Rehab;
  • bypass, disable, defeat, or otherwise interfere with any authentication, licensing, security, logging, telemetry, support, or access-control measures used by VAST.Rehab;
  • copy, distribute, display, perform publicly, make available to the public, decompile, disassemble, reverse engineer, translate, modify, adapt, sublicense, sell, rent, lend, transfer, combine with other software, or create derivative works from VAST.Rehab or any material subject to Brontes Processing’s proprietary rights, except as expressly permitted by applicable law or by Brontes Processing in writing;
  • frame or mirror any part of VAST.Rehab without Brontes Processing’s prior express written authorization;
  • upload, transmit, store, or process any data through VAST.Rehab without having all rights, permissions, notices, and legal bases required under applicable law; or
  • use VAST.Rehab in a way that is likely to cause harm to patients, users, systems, data, or third parties.

Communications

When you create an account or otherwise use VAST.Rehab, you agree to receive electronic communications from Brontes Processing relating to your account, product notices, support matters, security matters, billing, service changes, operational updates, and other information relevant to VAST.Rehab. You agree that notices, disclosures, and communications that we send electronically satisfy any legal requirement that such communications be in writing, to the extent permitted by law.

Accounts and passwords

To use certain parts of VAST.Rehab, you may be required to create or receive an account. You are responsible for ensuring that the information associated with your account is accurate, current, and complete.

You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account, except to the extent caused by our breach of these Terms of Use or applicable law. If you know or reasonably suspect that your credentials have been compromised, you must notify us, or your providing organization, without undue delay.

If your account is issued, administered, or controlled by an Authorized Organization, Distributor, or other third party, that party may also impose reasonable account management rules consistent with these Terms of Use and applicable law.

Acceptable use and conduct

You remain solely responsible for the content, data, files, configurations, integrations, and communications that you submit to or process through VAST.Rehab. You represent and warrant that you have all necessary rights and permissions to use such content, data, files, configurations, integrations, and communications in connection with VAST.Rehab.

You must use VAST.Rehab in a professional, lawful, and secure manner. Without limiting the generality of the foregoing, you must not use VAST.Rehab to transmit malware, unlawful content, infringing material, abusive content, deceptive content, or content that violates the rights of any person.

You must not attempt to gain unauthorized access to any account, environment, device, dataset, interface, or support channel; probe, scan, or test the vulnerability of any system without authorization; or use VAST.Rehab in a way that could interfere with other users, customers, or patients.

Privacy Policy

Use of VAST.Rehab is also subject to our Privacy Policy. By using VAST.Rehab, you acknowledge that you have read the Privacy Policy and understand that the collection, use, disclosure, storage, transfer, retention, and deletion of Personal Information are governed by the Privacy Policy and applicable law.

If a Customer or Authorized Organization acts as a controller and Brontes Processing acts as a processor or subprocessor with respect to personal data processed through VAST.Rehab, the parties may need to enter into a separate data processing agreement where required by applicable law. If a Customer or Authorized Organization is subject to HIPAA and VAST.Rehab is used in a manner that requires a business associate agreement, the parties may need to enter into a separate business associate agreement before protected health information is processed through the relevant configuration.

License

Subject to these Terms of Use and any applicable order form, quote, statement of work, support arrangement, distributor arrangement, or other written agreement approved by Brontes Processing, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use VAST.Rehab solely for your internal clinical, operational, technical, educational, evaluation, implementation, support, or administrative purposes related to the permitted use of VAST.Rehab.

No title to or ownership of VAST.Rehab is transferred to you. All rights not expressly granted are reserved by Brontes Processing and its licensors.

Fees and billing

Access to VAST.Rehab may be subject to fees, recurring charges, token consumption, implementation fees, training fees, support fees, service fees, or other commercial terms specified in an order form, quote, distributor arrangement, pricing page, or other written commercial document approved by Brontes Processing or an authorized Distributor.

Commercial access to VAST.Rehab may include perpetual licenses for selected modules or stations, subscriptions for selected services or features, token-based access for selected remote services, optional support or implementation services, and other paid components. Unless expressly stated otherwise in writing, hardware, third-party services, and third-party devices are not included in software fees.

All fees are exclusive of taxes, duties, levies, and similar governmental charges, unless expressly stated otherwise in writing. You are responsible for all such amounts except taxes based on Brontes Processing’s net income.

Unless otherwise specified in the applicable commercial document, fees are non-refundable. Failure to pay amounts due may result in suspension or termination of access to VAST.Rehab.

Working with VAST.Rehab distributors

In certain territories, VAST.Rehab may be marketed, sold, implemented, invoiced, supported, or otherwise provided through a Distributor. In such cases, some commercial, logistical, support, implementation, or local compliance matters may be handled by that Distributor.

A Distributor may provide additional commercial terms, order documents, local notices, support processes, or implementation materials. However, no Distributor document may expand the intended use of VAST.Rehab, relax safety restrictions, authorize uses not approved by Brontes Processing, alter Brontes Processing’s intellectual property rights, or bind Brontes Processing beyond the scope expressly accepted by Brontes Processing in writing.

If a Distributor relationship ends or becomes unavailable, Brontes Processing may, but is not obligated to, continue access to VAST.Rehab directly or through another authorized party, subject to applicable law and applicable commercial arrangements.

Cancellation and termination

You may stop using VAST.Rehab at any time. If you are a commercial Customer, cancellation, expiration, renewal, downgrade, or reduction of services will be governed by the applicable order form, quote, distributor arrangement, or other commercial document. If your access is provided by an Authorized Organization or Distributor, you may need to contact that party regarding account closure or access changes.

Brontes Processing may suspend or terminate your access to VAST.Rehab, in whole or in part, immediately or at a later time, if we reasonably believe that you breached these Terms of Use, failed to pay amounts due, created a security risk, used VAST.Rehab in an unauthorized manner, or if suspension or termination is required to protect patients, users, data, systems, third parties, or Brontes Processing’s legitimate interests, subject to applicable law.

Following cancellation or termination, your content and data may be deleted after a reasonable retention period unless a longer retention period is required by law, by a written agreement, or by a Customer-controlled retention policy. Unless prohibited by law or technically impossible, we recommend that Customers export any data they need before cancellation or termination.

You may have mandatory rights

Nothing in these Terms of Use excludes, restricts, or modifies any rights or remedies that cannot be excluded, restricted, or modified under applicable law. If such mandatory rights apply, these Terms of Use will be read subject to those rights, and any limitation or exclusion of liability in these Terms of Use applies only to the maximum extent permitted by law.

No warranties or representations

We’re not limiting your mandatory rights

To the maximum extent permitted by law, and without limiting any mandatory rights or non-excludable obligations that cannot lawfully be excluded, VAST.Rehab is provided subject to applicable law, applicable labeling, and the written commitments expressly accepted by Brontes Processing. Except to the extent of such mandatory rights or non-excludable obligations, Brontes Processing and its suppliers disclaim warranties and representations, whether express, implied, statutory, or otherwise, including any implied warranty of merchantability, title, non-infringement, or uninterrupted availability.

Without limiting the foregoing, Brontes Processing does not warrant that VAST.Rehab will be uninterrupted, error-free, secure, available at all times, suitable for every patient, suitable for every workflow, or compatible with every device, network, integration, territory, or legal regime. Use of VAST.Rehab depends on many factors outside our control, including hardware quality, camera conditions, user setup, connectivity, third-party services, configuration choices, clinical workflow, and user behavior.

Brontes Processing is not responsible for delays, outages, delivery failures, degraded performance, or other issues resulting from the Internet, telecommunications networks, cloud providers, hosting providers, device manufacturers, operating systems, app stores, local infrastructure, or other third-party systems.

Limitation of liability without limiting your mandatory rights

To the maximum extent permitted by law, Brontes Processing will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, opportunity, data, business, or anticipated savings, arising out of or related to VAST.Rehab or these Terms of Use, even if advised of the possibility of such damages.

To the maximum extent permitted by law, Brontes Processing’s aggregate liability arising out of or related to VAST.Rehab or these Terms of Use will not exceed the amounts paid to Brontes Processing for the affected part of VAST.Rehab during the twelve (12) months immediately preceding the event giving rise to the claim, or, if no such fees were paid, one hundred (100) EUR.

Nothing in these Terms of Use limits liability that cannot lawfully be limited or excluded under applicable law.

Intellectual property and data

As between you and Brontes Processing, you retain all rights that you have in your data, content, files, and materials. You grant Brontes Processing and its subprocessors a non-exclusive right to host, copy, transmit, process, display, back up, secure, and otherwise use such data, content, files, and materials solely as necessary to provide, support, secure, maintain, improve, or comply with legal obligations relating to VAST.Rehab, and as otherwise described in the Privacy Policy or a written agreement.

You acknowledge that Brontes Processing and its licensors own all right, title, and interest in and to VAST.Rehab, including all intellectual property rights in the software, interfaces, content, branding, documentation, product design, and related materials. Except as expressly permitted by applicable law or by Brontes Processing in writing, you must not copy, reproduce, alter, modify, or create derivative works from VAST.Rehab.

You acknowledge that Brontes Processing may use service providers and infrastructure providers located in countries other than your own, subject to the Privacy Policy, appropriate contractual safeguards where required, and applicable law.

General

You may not assign or transfer your rights or obligations under these Terms of Use without Brontes Processing’s prior written consent, except where such restriction is prohibited by applicable law.

Brontes Processing will not be liable for any delay or failure to perform its obligations under these Terms of Use to the extent such delay or failure results from causes beyond its reasonable control, including failures of telecommunications, hosting, infrastructure, labor, utilities, supply chains, natural disasters, war, civil unrest, acts of government, or cyber incidents caused by third parties.

If any provision of these Terms of Use is held invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

These Terms of Use, together with any commercial document, product-specific terms, privacy notice, support arrangement, implementation statement, data processing agreement, business associate agreement, or other written document expressly incorporated by reference, constitute the entire agreement between you and Brontes Processing regarding the subject matter they cover. If there is a conflict between these Terms of Use and a commercial document approved by Brontes Processing, the commercial document will prevail only with respect to commercial matters expressly addressed in that document, and these Terms of Use will continue to govern all other matters. For the avoidance of doubt, no commercial document may override the intended use, safety limitations, or use restrictions stated by Brontes Processing unless Brontes Processing expressly states otherwise in writing.

These Terms of Use are governed by the laws of Poland, excluding conflict of law rules, unless Brontes Processing and the relevant Customer or Distributor expressly agree in writing on another governing law or dispute-resolution framework for a specific relationship. Unless such a separate written agreement provides otherwise, each party submits to the non-exclusive jurisdiction of the courts of Poland, unless mandatory law requires otherwise.

Amendments to the Terms

Brontes Processing may amend these Terms of Use from time to time. In the event of a material change, we will make reasonable efforts to provide notice through the VAST.Rehab website, the product, electronic communication, or another appropriate channel. Unless a shorter period is required by law or for urgent safety, security, legal, or regulatory reasons, material changes will take effect thirty (30) days after such notice is provided. Your continued use of VAST.Rehab after the effective date of the amended Terms of Use constitutes acceptance of the amended Terms of Use to the extent permitted by law.
